Natalia has a total of over 25 years of experience in legal consulting.
Natalia has substantial experience in international and Russian consulting on preparation and implementation of projects in the field of international investments, corporate law, real estate and M&A transactions.
In addition, Natalia is a well-known PPP specialist in Russia: she has participated in drafting a number of national (federal and regional) legal acts regulating the industry and led the team of Russian lawyers in the first PPP project in Russia – construction of the Western High Speed Diameter toll road in St Petersburg.
Prior to joining Maxima Legal, Natalia was a legal department director at KPMG’s legal department and an adviser and co-head of SALANS’ (Dentons) real estate practice.
1. Advice on commercial and corporate projects, including joint ventures with foreign capital, M&A and corporate restructuring:
- Establishment and ongoing support for joint ventures
- Legal support for investment projects
- Drafting investment documents, memoranda and legal opinions
- Structuring and closing of transactions
- Real estate investment transactions as well as acquisitions and divestitures under Russian and foreign law
- Due diligence of groups of companies for a subsequent purchase or sale of the businesses
- Full legal support of groups of companies (in the FMCG, automotive, pulp and paper, pharmaceutical, construction, agriculture, oil and gas and other industries) on international, commercial, corporate, administrative law, real estate, etc.
- Contractual work (supply, construction, lease, service, loan, pledge, licence, investment, sale and purchase, concession, letter of intent, etc.).
2. Support for PPP projects (including concessions) and improvement of PPP legislation in Russia:
- Support for the Western High-Speed Diameter project, including preparation of a full set of tender application and PPP agreement documents
- Support to DorAeroProject Institute in structuring the M4 Don toll road project, including the development of the risks matrix
- Structuring a Russian group of construction companies to build a more efficient corporate structure for implementing PPP projects
- Participating in drafting amendments to PPP laws of the Leningrad and the Novosibirsk regions
- Advising on PPP in terms of issues arising in corporate finance and project finance
