Anastasia Samusenko explained to NP what the reshuffling of the owners of the dairy products producer Galaktika might be related to
There have been changes in the ownership of the large dairy products manufacturer Galaktika. According to Kontur.Focus service, until recently 32% of shares of Galaktika Ltd. belonged to Lateo Ltd. associated with the founder of Latvian holding Food Union Andrey Beskhmelnitsky. Another 26% was held by Altair Holding JSC, 3.79% by Igor Dyu, 19.3% by Aquamarine LLC linked to billionaire Roman Trotsenko, and 18.9% by King Time Marine Private Limited of Singapore. In August 2024, Aquamarine LLC left Galaktika and transferred its stake to Niunai LLC, the owner of which is affiliated with Trotsenko. In addition, instead of a Singaporean company, Dairyline-Frisons Company from the UAE joined Galaktika’s capital, receiving 18.9%. Galaktika called the changes “technical reshuffles”.
According to Anastasia Samusenko, Senior Associate at Maxima Legal, these reshuffles may indeed be technical, i.e. without changing the composition of the company’s ultimate beneficiaries.
According to the expert, such practice is quite common today, as the conditions of companies’ activities now change much more frequently than before, especially in terms of foreign trade relations. “Banks’ requirements, compliance procedures, sanctions regulation and so on are changing. Businesses have to adjust in order to optimize processes and continue operations,” Anastasia explained to the Novy Prospect.
“Now Singapore, Hong Kong and the UAE are among the most frequently used jurisdictions when restructuring operations and setting up new companies. This is due to both tax benefits and greater loyalty to Russian business compared to other offshore zones”, – emphasized the specialist of Maxima Legal.
According to Anastasia Samusenko’s assumption, the change of ownership in Galaktika, if it does not have a change in the composition of the ultimate beneficiaries, may be related to the compliance procedures required to open bank accounts in certain jurisdictions, or to tax optimization.
